If Pfizer is "delisting" itself it means they know that shareholders are coming after them. So delist yourself, go private and eliminate the shareholders. Simple.

Its part of going private...but of course that assumes all classes of shares will be delisted.

How does that eliminate liability to existing shareholders who were damaged by management actions, even if those shares are bought out? Unless a shareholder signs a release.
